1.1. The party to the Agreement is Rather Labs Inc. located at 2810 N Church St, Wilmington, Delaware, US, hereinafter referred to as “TranscribeGo” or “RL” without distinction. User will be understood as provided in the definition in point 2.
1.2. TranscribeGo and the User are referred to as “Parties” collectively and as “Party” individually.
For these Terms and Conditions, it will be understood as:
“Bot” is a computer program that simulates interaction with a human person, whose purpose, for these terms and conditions, is the reception of an audio file and the return to the User of a transcription of said file along with a summary, The latter depending on the length of the audio. Likewise, the User will also be able to interact with the Bot, which, using artificial intelligence, will be able to answer questions, solve problems, and maintain any type of conversation, simulating an interaction with a human person;
“Membership” is the possibility of Users to acquire, through prior payment, premium services offered by TranscribeGo, detailed in clause 7 of these Terms and Conditions;
"User" means any natural person or, if applicable, legal person, who uses the Bot, whether for its free version, or acquires the Membership service, purchasing in its name and on its own account or on behalf of third parties, and at your own cost;
“Service” is any action carried out by the Bot in favor of the Users. This Service may be modified in the future, and the User must review these Terms and Conditions periodically;
“Site” is the TranscribeGo web page hosted at the domain https://www.transcribego.app/.
TranscribeGo will have the right and authorization to change or update the terms and conditions contained in this document and in the Privacy Policy, which are accepted at the time of use of the Service, at any time, whether partially or completely. The User may not allege, demand or declare that TranscribeGo has not notified him of the referred changes and updates, or the referred changes and updates may not be applicable to the User, if the User has been notified directly by TranscribeGo or if he has accessed the Site in any way directly/indirectly after changes and updates.
4.1. By using the TranscribeGo Services, and/or accessing the Site, registering and contracting the chosen Membership; The User declares that he has read, understood and accepted these terms and conditions in all its parts and it will come into force and both Parties will be considered to have agreed to be legally bound.
4.2. 4.3. The User may cancel their Membership by entering https://www.mercadopago.com.ar/subscriptions, in the case of having opted to pay through Mercado Pago, or at https://billing.stripe.com/p/ login/9AQeVsexYcr16OceUU, in the case of using Stripe to pay for your Membership. If TranscribeGo determines that the User partially or completely violates any provision of these terms and Conditions and/or Privacy Policy, TranscribeGo may suspend the User's account permanently/temporarily and/or terminate these Terms and Conditions immediately without prior notice and without incur no liability for damages of any kind.
5.1. Age Restriction. The use of the Service by minors under 16 years of age who are not properly supervised by their parents, guardians and/or persons of legal age who take care of them is prohibited. The use of the Service will be under the exclusive responsibility of the persons in charge of said minors, exempting TranscribeGo from liability for any use contrary to these Terms and Conditions, the Privacy Policy, and the legislation of each country where the Service is used.
5.2. Use of User Accounts
5.2.1. The User must accept and guarantee to provide the complete and accurate information required by TranscribeGo, in accordance with these Terms and Conditions and/or the Privacy Policies. Likewise, you must keep the information updated when the User uses the TranscribeGo Services in any way.
5.2.2. Under no circumstances will the User have the right to allow third parties to use the Service, whether permanently or temporarily. Otherwise, TranscribeGo may suspend the User's respective account permanently or temporarily.
5.2.3. The User will be solely responsible for the consequences of allowing third parties to use their account. Under no circumstances will TranscribeGo be liable for misuse by third parties using the User's account, whether permanently/temporarily or partially/completely.
5.2.4. The User must accept and guarantee that they will not share their account information with any third party, to protect and keep confidential the information referred to and notify TranscribeGo immediately in the event of a security breach. TranscribeGo is not responsible for any damages, losses, costs and any other adverse results arising from such unauthorized use.
5.2.5. In addition to these Terms and Conditions, the User, by using the service, declares that he has read and accepted the Privacy Policy. In this way, the User guarantees compliance with these Terms and Conditions, the Privacy Policy, any other rules and regulations of TranscribeGo, applicable laws and regulations when using the TranscribeGo Services. In this sense, the User guarantees that he will be solely responsible for his own actions and the use of the tool provided by TranscribeGo, releasing TranscribeGo from any kind of responsibility.
5.2.6. The User agrees not to violate, reverse engineer, decompile, reverse, disassemble or otherwise exploit the Site and/or the Bot and/or and its contents / services. Additionally, the User agrees that he or she will not provide help and assistance to others in relation to the aforementioned actions.
5.2.7. By using the TranscribeGo Services, the User guarantees not to transfer, communicate, publish, display, store, assign, send, forward, maintain, provide access to any content construed as illegal, harassing, threatening, harmful, tortious, defamatory, abusive, rude, containing violence, slang, pornographic, sexually offensive, interference with the private life of other people, racist or humiliating, ethnic identities or similar inconvenience to TranscribeGo, its affiliates, directors, employees, other Users and any other third party, guaranteeing not use the TranscribeGo Services in the manner referred to.
6.1. TranscribeGo is a Bot that, using AI, receives messages and/or audio files sent by Users, with up to a limit of 20 minutes of total audio extension per month in the free model, with the User having to access the Site and proceed to register. the same.
The User may also interact with the Bot, which may simulate the interaction with a human person, being able to ask the latter any kind of information, which the Bot may return a response.

In the event that the User wishes, they may access a Membership Service (called “Plus Plan”), where they may use the TranscribeGo Services without the restrictions described in this clause. 6.2. The use of the summary of the audio transcription for any purpose of the Service is under the exclusive responsibility of the User, with the User accepting that the transcription sent to the User by the Bot, as well as its summary, may omit some part of the audio sent, detail and/or transcription of the original audio. The User also accepts that any information provided by the Bot may not be correct, up-to-date, reliable, etc., and its use remains under his/her sole responsibility.
7.1. Some of the Services provided by TranscribeGo may require payment and the rest of them may be free of charge. TranscribeGo will have the exclusive right to determine which Services require payment and in what manner and for how long this determination will continue.
7.2. The General Public will have free access to the services offered by TranscribeGo, whose conditions can be consulted at https://www.transcribego.app/. For those who are interested in services that exceed the limit provided for the General Public, they may opt for a Membership , whose prices can be consulted at https://www.transcribego.app/
It is noted that the prices detailed there are without taxes, which will be the responsibility of the User. These charges may be subject to modifications, which will be notified through the Bot and/or by the Site, from time to time. The prices are expressed in Pesos. Membership payments will be processed, at the User's choice, through the Mercado Pago platform (www.mercadopago.com.ar) or Stripe (www.stripe.com) and the User must consult the terms and conditions of each of them. Likewise, these platforms may require the provision of personal data, so it is also recommended to review the privacy policy of each of said sites.
7.4. TranscribeGo designates the Membership to be marketed by FyF & Asociados SRL, located at Padilla 1276, CABA, Argentine Republic, CUIT 30-71789845-8, a company authorized to market the detailed Services within the territory of the Argentine Republic.
8.1. By accepting these Terms and Conditions, the User is deemed to have accepted and be bound by the Privacy Policy, which is an integral part of these Terms and Conditions.
8.2. In the case of contracting the Membership, Mercado Pago and/or Stripe may require the User to provide personal information such as full name, type and number of identification document, credit/debit card number, card expiration, security code. , and an email. Said data will be processed by said payment platform, and the User must consult the Privacy and Data Protection Policies that apply to each site.
9.1. TranscribeGo is a trademark registered by its owners, so its reproduction, use in any form, without proper authorization, may result from a violation of current legislation, with the User being responsible for any damages caused.
9.2. All brands named in these Terms and Conditions are trademarks registered by their owners, and their reproduction, use and/or commercialization is expressly prohibited without proper authorization.
THE USER HEREBY AGREES TO INDEMNIFY AND HOLD HARMLESS TRANSCRIBEGO, ITS AFFILIATES, DIRECTORS, EMPLOYEES FROM AND AGAINST ALL TYPES OF ACTIONS, LAWSUITS, LITIGATIONS, DAMAGES, LOSSES, COSTS AND/OR EXPENSES (INCLUDING THE FEES OF THE LAWYERS), DIRECTLY / INDIRECTLY CAUSED BY YOUR USE, MISUSE, INABILITY TO USE OR ABUSE OF THE SERVICE, OR YOUR BREACH OF THESE TERMS AND CONDITIONS, PRIVACY POLICY OR ANY OTHER TYPE OF RULES AND PRINCIPLES, OR LAWS AND/OR OTHER RULES AND LEGAL REGULATIONS, WHETHER INTENTIONAL, NEGLIGENT OR OTHERWISE.
IN NO EVENT WILL TRANSCRIBEGO BE LIABLE TO THE USER OR THIRD PARTIES RELATED TO THE USER OR TO THE GENERAL PUBLIC FOR ANY DAMAGE, LOSS OF CHANCE, LOST PROFITS, AND/OR ANY OTHER HARM THAT MAY ARISE FROM THE USER'S USE, ABUSE, INABILITY TO USE, MISUSE OF THE SITE AND/OR THE BOT.
TranscribeGo shall not be liable for any failure or delay in the performance of these Terms and Conditions (including but not limited to TranscribeGo's failure to perform its obligations) due to a force majeure event, reasonably unpredictable events occurring outside of TranscribeGo's control. (including but not limited to acts of nature, war, terrorist attack, rebellion, embargo, acts, decisions and regulations of civil or military authorities, fires, floods, accidents, strikes, limitation of transportation facilities or lack of fuel , energy, work or materials).
These Terms and Conditions shall not constitute or be construed as establishing a joint venture, partnership, agency, employment or any other similar relationship between the Parties. These Terms and Conditions shall not affect any other prior agreements between the Parties, provided that such prior agreements do not contravene the provisions of these Terms and Conditions.
If any provision contained in these Terms and Conditions is held illegal or unenforceable for any reason, that provision will be replaced by a valid one to the maximum extent permissible in order to pursue the intention of the Parties and the remainder of these Terms and Conditions will remain in full force. vigor and effect. This Agreement shall be governed by and construed in accordance with the Laws of Delaware, United States. The Parties give their consent to the exclusive jurisdiction of the Courts of said jurisdiction, waiving any other type of jurisdiction or jurisdiction.
